Anindyatrans as Translation Service Jakarta uphold the principle of client’s confidential information which is any and all confidential and/or proprietary information including but not limited to documents, bill of materials, technical drawings, schematics, samples, working/ testing instructions, products, services, sales, performances, plans, strategies, customers, financial or human resources, processes, management, contracts, project documentation, software, hardware, technical data, know-how, ideas and inventions (whether patentable or not), which is disclosed to Anindyatrans as Translation Service in Jakarta by the Client in any manner, whether orally, visually or in tangible form (including, without limitation, hardcopy documents, devices and computer readable media) and all copies thereof, and whether (i) (in respect of tangible materials) marked by the Client as “Confidential”, “Proprietary”, or the equivalent thereof; or (ii) (if disclosed orally or visually) identified by the Client as confidential at the time of disclosure and summarized in writing by the Client which is duly marked as “Confidential”, “Proprietary”, or the equivalent thereof and delivered it to Recipient within 30 days from the date of disclosure; or (iii) which ought to be considered as confidential or proprietary from its nature or from the circumstances surrounding its creation or disclosure.

Shall maintain in confidence and shall not disclose Confidential Information for the period of 2 years from the Effective Date of Agreement (“Non-Disclosure Period”). Anindyatrans as Translation Service Jakarta shall use Confidential Information solely for Insert the Purpose of the exchange of Confidential Information. Anindyatrans as Translation Service Jakarta shall take all reasonable steps consistent with the protection of its proprietary information to prevent the unauthorized use or disclosure of the Client’s Confidential Information.

Shall disclose Confidential Information only to those directors, officers, employees, representatives, agents, advisors (including legal, financial or other advisors) and subcontractors of Recipient or its affiliates (“Representatives”) who have a need to know such information for the Purpose. Any such Representative shall have a written agreement with Recipient which requires them to keep all third party confidential information in confidence on terms no less onerous than the terms herein.

Confidential Information shall not include any information that Anindyatrans as Translation Service Jakarta can demonstrate (a) was in the possession of Recipient and at its free disposal before receipt from the Client; (b) is or becomes generally available to the public without fault of Anindyatrans as Translation Service Jakarta or Representatives; (c) is rightfully received by Anindyatrans as Translation Service Jakarta from a third party without confidentiality obligations; (d) is independently developed by Anindyatrans as Translation Service Jakarta; (e) is approved for release by written authorization of the Client; (f) is disclosed pursuant to any requirement or operation of law provided that Anindyatrans as Translation Service Jakarta furnishes prior notice of such requirement to the Client and cooperates with the Client in contesting disclosure or obtaining confidential treatment of such disclosure; or (g) is furnished to a third party by the Client without similar restriction on the third party’s rights.

Either party may in writing terminate this Agreement at any time, without cause. In the event of such termination, Anindyatrans as Translation Service Jakarta confidentiality obligations shall survive for the Non-Disclosure Period. Upon termination or expiration of this Agreement or upon demand by the Client at any time, Anindyatrans as Translation Service Jakarta shall immediately cease using the Confidential Information and shall promptly (at Discloser’s option) return to the Client or destroy all tangible materials that disclose or embody such Confidential Information; provided, that Anindyatrans as Translation Service Jakarta may retain one copy of the Confidential Information for archival purposes only. The parties hereby waive Article 1266 of the Indonesian Civil Code to the extent that it requires a court order for termination of the Agreement
